General terms

The owner of the Service and service provider is individual entrepreneur Viacheslav Anatoliiovych Overkovskyi, Ukrainian tax number 3089717212 (the "Provider"). A User is an individual entrepreneur, legal entity, or other person who registers, uses the Service, or pays for a subscription.

By registering, using the Service, or paying for a subscription, the User accepts these Terms. The current version is published on this page.

Service scope

The Service lets a User connect an ecommerce catalog through a public Merchant or YML XML feed, place a shopping-assistant widget on a website, provide automated product discovery, and record leads for a store manager.

UPLIFY Chat is not the seller of the User's products, does not take payment for them in the widget, does not confirm orders on the store's behalf, and is not a party to the sale between the store and its shopper.

Accounts and security

The User must provide accurate information, keep access credentials secure, and report suspicious activity. The Provider may temporarily restrict access in cases of fraud, attacks, limit evasion, unlawful use, or a material breach of these Terms.

The User is responsible for the lawful transfer of product data, placement of the widget, and collection of shopper contact details on the User's website.

Trial, plans, and payment

The 14-day trial does not require a payment card and is subject to the limits shown on the pricing page. Paid features require an active subscription after the trial.

Monthly or yearly subscriptions are paid in advance. The yearly price uses the discount shown on the pricing page. After billing launches, WayForPay will process subscription payments. UPLIFY Chat will not store full bank-card details.

If recurring billing is enabled, the User may cancel renewal before the next charge date. Access remains active until the end of the paid period.

AI, catalog data, and accuracy

Responses may use artificial-intelligence models. Technical failures, inaccurate interpretation, or incorrect output remain possible even when answers are restricted to feed data. The User is responsible for the catalog, consultation rules, and the store team's handling of leads.

The Provider does not guarantee a particular sales volume, conversion rate, profit, or uninterrupted availability of external platforms, product feeds, or model providers.

Acceptable use

The Service may not be used for unlawful activity, fraud, prohibited goods or services, spam, attacks, limit evasion, or unauthorized bulk access. Users may not intentionally submit malicious code or data that infringes third-party rights.

Liability

The Service is provided "as is". The Provider is not liable for indirect damages, lost profit, reputational loss, or decisions made from an automated response.

To the extent permitted by law, the Provider's total liability is limited to the amount the User actually paid for the Service during the 30 calendar days before the event that caused the claim.

Termination and contact

The User may stop using the Service and cancel subscription renewal. The Provider may end access after a material breach while continuing to meet applicable obligations concerning data and payments.
